1. Agreement to Terms

These Terms and Conditions ("Terms") govern your use of the On Cloud API platform operated by Wolf Software Solution Pvt. Ltd ("Company", "we", "us"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our platform.

2. Services

On Cloud API provides a SaaS (Software as a Service) platform for WhatsApp Business API integration, automation, bulk messaging, chatbot management, and related services. We are a Meta Verified Tech Provider operating on the official WhatsApp Cloud API.

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice.

3. Subscription & Billing

Our services are offered on a subscription basis. By subscribing, you authorize us to charge your payment method for the applicable fees on a recurring basis (monthly or annually, depending on your chosen plan).

• Subscription fees are charged in advance at the start of each billing cycle.
• A one-time setup fee may apply depending on your selected plan.
• Prices are subject to change with 30 days' advance notice.
• Failed payments may result in service suspension until the outstanding balance is cleared.

4. Refund Policy

By completing your purchase, you acknowledge and agree to the following:

• No change-of-mind refunds: If you decide you no longer want the service after purchase, no refund will be issued.
• No refunds after service delivery: Once your account has been activated and access to the platform has been granted, the service is considered delivered. No refunds will be provided.
• No partial refunds: We do not offer partial refunds for unused days within a billing cycle.
• Setup fees are non-refundable: One-time setup fees cannot be refunded under any circumstances.
• Subscription cancellation: You may cancel your subscription at any time to prevent future charges, but no refund will be issued for the current billing period.

5. Acceptable Use

You agree not to use our platform to:

• Send spam, unsolicited messages, or messages that violate WhatsApp's policies
• Engage in illegal, fraudulent, or harmful activities
• Harass, threaten, or abuse any individual or group
• Violate any applicable local, national, or international laws
• Attempt to reverse-engineer, hack, or compromise the platform

Violation of these terms may result in immediate account suspension or termination without refund.

6. WhatsApp Policy Compliance

You are responsible for ensuring your use of the WhatsApp Business API complies with Meta's Business Policy and WhatsApp's Commerce Policy. Any account bans or restrictions imposed by Meta due to policy violations on your part are not the responsibility of On Cloud API, and no refunds will be issued in such cases.

7. Account Termination

We reserve the right to suspend or terminate your account at our sole discretion if:

• You violate these Terms
• Your use poses a risk to other users or the platform
• You engage in abusive behavior toward our team
• Required by law or Meta's policies

In the event of termination due to a violation, no refund will be provided.

8. Intellectual Property

All content, branding, software, and technology on the On Cloud API platform is the exclusive property of Wolf Software Solution Pvt. Ltd. You may not copy, reproduce, distribute, or create derivative works without our express written permission.

9. Limitation of Liability

To the maximum extent permitted by law, On Cloud API and Wolf Software Solution Pvt. Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform, including but not limited to loss of revenue, data, or business opportunities.

Our total liability in any matter arising from these Terms shall not exceed the amount paid by you in the 30 days preceding the claim.

10. Disclaimer of Warranties

The platform is provided "as is" and "as available." We do not warrant that the service will be uninterrupted, error-free, or completely secure, although we strive to maintain 99% uptime and industry-leading security standards.

11. Governing Law

These Terms are governed by the laws of Pakistan. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Pakistan.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes via email or a notice on the platform. Continued use of the service after changes take effect constitutes your acceptance of the revised Terms.
